CONSTITUTION

Article I: Name of the Organization

The name of the organization shall be the Congaree Rapid Soccer Association, Incorporated.

Article II: Purpose of the Organization

The purpose of the Congaree Rapid Soccer Association, Inc. (hereafter referred to as the CRSA) shall be to promote soccer at all levels within an area encompassing but not limited to Cayce, Columbia, and West Columbia, South Carolina. To further implement this purpose, the CRSA shall work in conjunction with and as a member of the South Carolina Youth Soccer Association (SCYSA), the United States Youth Soccer Association (USYSA), and the United States Soccer Federation (USSF).

Article III: Council Composition

A. The CRSA shall be governed by a Council composed of four (4) officers and five (5) directors as follows:

B. Each member of the Council shall serve for a two-year term and may succeed him/herself. The Council terms of office shall be elected as followed:

Treasurer
Director of Coaches
Director of Planning and Development
Director of Registration

Article IV: Council Attendance

CRSA Council Members shall miss no more than two consecutive regular monthly meetings, or three regular monthly meetings in one year, except by written excuse approved by a majority vote of the Council. Excessive absenteeism shall cause the Council to remove that member from office, which shall then be declared vacant. That member shall be notified of the Council's action in writing.

Article V: Affiliation

A. In order to meet its stated purpose, the CRSA shall be affiliated with the following organizations:
South Carolina Youth Soccer Association (SCYSA)
United States Youth Soccer Association (USYSA)
United States Youth Soccer Federation (USSF)

In addition, the CRSA reserves the right to seek affiliation with any organization from which it may benefit.

B. Affiliation with other organizations must be discussed and voted upon at an official meeting of the CRSA membership. A majority vote of the members present shall determine the application for, continuation of or cancelling of said affiliation. Failing a majority vote, the status of the affiliation at that time shall remain unchanged.

C. Under no circumstances shall control for the CRSA be given over to another organization through such affiliation.

Article VI: Financial Considerations

A. The CRSA shall be a non-profit organization which shall apply for and maintain eleemosynary status.

B. The Treasurer shall maintain all financial records of the CRSA and shall file all necessary State and Federal Tax returns as required by law.

C. Records shall be made available to any party demonstrating a need to know to the CRSA Council which shall then vote on the release of such financial records.

D. All monies accrued by the CRSA shall be in the form of a check drawn on the CRSA account. Only the President, Vice-President, and Treasurer will be authorized to sign Association checks.

E. All payments made by the CRSA shall be in the form of a check drawn on the CRSA account at the earliest possible time. Deposits to the CRSA account may be made by any party.

F. The Treasurer shall submit a verbal report of finance at each CRSA meeting. A brief written financial summary should be given to the Council quarterly. The Treasurer shall cause to be placed in the permanent records of the CRSA a complete financial statement of the CRSA account within thirty (30) days following the end of the fiscal year. Financial records may be audited at any time by a majority vote of the Council. The fiscal year forthe CRSA, shall be June 1 through May 31.

G. Financial records of the CRSA shall be maintained in accordance with State and Federal requirements.

H. Upon the dissolution of the Association, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3)of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the Federal government or to a State or Local government for a public purpose. Any such assets not so disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

BY-LAWS

Article I: President

The President of the CRSA shall:
Preside over all CRSA meetings;
Preside over all CRSA Council meetings;
Present a President's report at each CRSA regular meeting;
Submit an annual report concerning the state of the CRSA at the May meeting each year;
Be authorized to sign checks drawn on the CRSA account;
Be authorized to sign documents on behalf of the CRSA;
Be a primary representative to other organizations unless otherwise stated in the CRSA By-Laws;
Cast one vote on all issues;
Delegate responsibilities as required;
Accept additional responsibilities as may be assigned by the CRSA Council.

Article II: Vice-President

The Vice-President of the CRSA shall:
Succeed to the powers of the President in the absence of the President;
Maintain meeting minutes in the absence of the Secretary;
Be authorized to sign documents on behalf of the CRSA in the absence of the President;
Be authorized to sign checks drawn on the CRSA account in the absence of the President;
Cast one vote on all issues;
Accept additional responsibilities as may be assigned by the Council.

Article III: Secretary

The Secretary of the CRSA shall:
Succeed to the powers of the President in the absence of the President and the Vice-President;
Record the minutes of each regular meeting;
Record the minutes of each Council meeting;
Report the minutes of the prior meeting at each regular meeting;
Report the minutes of the prior meeting at each Council meeting;
Maintain all CRSA records;
Cast one vote on all issues;
Accept additional responsibilities as may be assigned by the CRSA Council.

Article IV: Treasurer

The Treasurer of the CRSA shall:
Succeed to the powers of the President in the absence of the President, Vice-President, and the Secretary;
Collect all monies due to the CRSA;
Be authorized to sign checks drawn on the CRSA accounts;
Maintain records of all financial transactions of the CRSA;
Submit a verbal financial report at each monthly meeting of the CRSA;
Submit a written quarterly summary to the CRSA Council;
Submit a complete annual financial statement within thirty (30) days following the end of the fiscal year to be placed in the CRSA records;
Cast one vote on all issues;
Accept additional responsibilities as may be assigned by the CRSA Council.

Article V: Director of Coaches

The Director of Coaches of the CRSA shall:
Be responsible for procuring of coaches for any CRSA sponsored or organized teams;
Develop and conduct training programs for coaches;
Conduct periodic review of coaches behavior and methods during practices and games;
Temporarily suspend a coach who is thought to be in violation of a principle of the CRSA or a rule of a sanctioning body;
Cast one vote on all issues;
Accept additional responsibilities as may be assigned by the Council.

Article VI: Director of Community Affairs

The Director of Community Affairs of the CRSA shall:
Be responsible for community relations;
Act as a liaison between the CRSA and all forms of media;
Be responsible for membership drives;
Cast one vote on all issues;
Accept additional responsibilities as may be assigned by the CRSA Council.

Article VII: Director of Officials

The Director of Officials of the CRSA shall:
Coordinate the training of and testing of officials;
Assign officials for CRSA-sponsored matches;
Conduct spot reviews of officials under game conditions;
Temporarily suspend an official who is thought to be in violation on a principle of the CRSA or a rule of a sanctioning body;
Cast one vote on all issues;
Accept additional responsibilities as may be assigned by the CRSA Council.

Article VIII: Director of Planning and Development

The Director of Planning and Development of the CRSA shall:
Act as official liaison between the CRSA and individuals or organizations toward the development of a CRSA soccer facility;
Act as official liaison in the procurement of CRSA soccer sponsors;
Be responsible for an annual Planning and Development report;
Cast one vote on all issues;
Accept additional responsibilities as may be assigned by the CRSA Council.

Article IX: Director of Registration

The Director of Registration of the CRSA shall:
Maintain registration information on all players;
Submit required registration records to the proper affiliated organizations;
Coordinate all insurance claims;
Cast one vote all issues;
Accept additional responsibilities as may be assigned by the CRSA Council.

Article X: Order of Business

Regular CRSA meetings shall be conducted as follows:

Article XI: Membership

Families or individuals may become members of the CRSA by completing an application and payment of yearly dues. Membership shall run from September 1 through August 31. Annual dues will become payable at a time determined by the Council. Members who initially join some time after September shall pay a first year dues prorated for the remainder of the membership year. It shall be a general policy that no child be prohibited from playing soccer for financial reasons, and that fees will be reduced or waived for those who cannot afford to pay. All requests for reduced or waived fees must be approved by the Council.

Membership in the CRSA guarantees each member the right to seek any elected office within the organization.

CRSA members placed on suspension shall remain members of the CRSA but shall lose their right to participate in CRSA-sponsored activities or seek an elected office until they are returned to members in good standing.

Article XII: Uniforms

The uniforms shall consist of two (2) jerseys (different colors), coordinated with two (2) pairs of shorts, and two (2) pairs of coordinating socks. The Director of Coaches shall present a proposed uniform and cost to the Council for its approval. Exceptions because of availability may be made by the Council.

Article XIII: Player of Conduct

All the players representing the CRSA shall conduct themselves within the laws of the game. The Council shall review all serious violations of the laws of the game. It is the intent that all players at all times exhibit clean and fair play at a competitive level of soccer. It is the responsibility of every member and coach to support these guidelines.
